These Terms of Service ("Terms") govern your access to and use of FairPlay's website, mobile application, and related services (collectively, the "Service") operated by FairPlay ("we," "us," or "our"). Please read these Terms carefully before using the Service.
By accessing or using FairPlay, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be legally bound by them. If you are accessing the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must immediately discontinue use of the Service. We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on the platform at least 14 days before changes take effect. Your continued use of the Service after the effective date of any revision constitutes your acceptance of the updated Terms.
FairPlay is an online price comparison platform for lacrosse equipment and gear. We aggregate and display product listings, prices, and availability data sourced from third-party retailers and marketplaces. Our platform enables users to search for products, compare prices across sellers, set price alerts, and navigate to retailers to complete purchases.
What FairPlay is not: FairPlay is not a retailer. We do not sell, ship, or take title to any products. All transactions occur directly between you and the applicable retailer. We are not a party to any sale and assume no responsibility for the fulfillment, quality, or accuracy of any product purchased through a link on our platform.
Product data including prices, availability, and descriptions is sourced from third-party retailers and updated on a periodic basis. There may be a delay between the time data is collected and the time it is displayed. FairPlay makes no guarantee that displayed prices or availability will match what you find upon visiting a retailer's website.
Certain features of FairPlay — including price alerts, saved searches, and premium subscriptions — require you to create an account. When registering, you agree to provide accurate, current, and complete information and to keep that information up to date.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not share your account with others or create more than one account per person. If you suspect unauthorized use of your account, you must notify us immediately at support@fairplay.com.
We reserve the right to suspend or permanently terminate accounts that we determine, in our sole discretion, have violated these Terms, engaged in fraudulent or abusive behavior, or created legal or operational risk for FairPlay. Where feasible, we will provide advance notice before taking such action.
You agree not to use the Service in any way that:
Violation of these prohibitions may result in immediate account termination and, where appropriate, referral to law enforcement authorities.
FairPlay participates in affiliate marketing programs. This means that when you click certain product links on our platform and subsequently make a purchase from a retailer, FairPlay may receive a commission from that retailer. This commission is paid by the retailer, not by you, and does not affect the price you pay for any product.
In accordance with FTC guidelines, we disclose that affiliate compensation may influence which retailers and products are featured or promoted. However, we are committed to surfacing accurate, unbiased price comparisons to all users regardless of affiliate relationships. Not all links on FairPlay are affiliate links, and the presence or absence of an affiliate relationship does not affect the completeness or integrity of our price data.
We do not accept payment from retailers or brands in exchange for higher placement in search results or price comparison tables.
The FairPlay name, logo, visual design, user interface, and all original content created by FairPlay — including but not limited to copy, graphics, and software code — are the intellectual property of FairPlay and are protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or publicly display any FairPlay-owned content without our prior written consent.
Product names, images, descriptions, and brand assets displayed on FairPlay remain the property of their respective owners. Their appearance on our platform does not imply any affiliation with or endorsement by FairPlay.
By submitting any content to FairPlay (such as reviews or feedback), you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with operating and improving the Service.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FAIRPLAY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any information or data displayed on the Service is accurate, complete, current, or reliable; (c) the Service will meet your particular requirements; or (d) defects will be corrected. You use the Service at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FAIRPLAY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL FAIRPLAY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FAIRPLAY IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify, defend, and hold harmless FairPlay and its affiliates from any claim, demand, or damage — including reasonable attorneys' fees — arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
You may close your account at any time by navigating to your account settings and selecting "Delete Account." Upon deletion, your personal data will be scheduled for purging in accordance with our Privacy Policy, typically within 90 days.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. If we terminate your account without cause, we will provide a pro-rated refund of any prepaid subscription fees for the unused portion of your current billing period.
Upon termination, all licenses granted to you under these Terms will immediately cease. Sections that by their nature should survive termination — including Sections 6 (Intellectual Property), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 10 (Governing Law), and 11 (Severability) — will survive.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Informal Resolution. Before initiating any formal dispute, you agree to first contact us at legal@fairplay.com and attempt to resolve the matter informally. We will try to resolve the dispute within 30 days.
Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in English and, unless both parties agree otherwise, will take place in Delaware. The arbitrator's decision shall be final and binding.
Class Action Waiver. TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found to be unenforceable, the entirety of the arbitration agreement will be null and void.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute.
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will continue in full force and effect.
